1. Legal Entity & Capacity
1.1 All services are supplied by Nulight Electrical GC Pty Ltd solely in its capacity as trustee for the NJH Family Trust (“we”, “us”, “our”).
1.2 We enter into all agreements in our capacity as trustee only and not in our personal capacity.
1.3 Any liability arising under these Terms is limited to the assets of the NJH Family Trust available to satisfy that liability.
1.4 No director, shareholder, employee or beneficiary has personal liability for obligations under these Terms.
2. Agreement
By accepting a quote, requesting services, or allowing work to commence, you agree to these Terms.
These Terms apply to all electrical and air-conditioning services unless otherwise agreed in writing.
3. Quotes & Variations

Quotes are valid for 7 days unless stated otherwise.

Prices exclude GST unless specified.
-
Variations requested after acceptance will be charged additionally.
Additional charges may apply where:
-
Hidden defects or unsafe/non-compliant wiring are discovered
-
Existing installations do not meet current standards
-
Site conditions differ from those represented
-
Material or supplier costs increase beyond our control
We may suspend works until variations are approved.
4. Payment & Security
4.1 Domestic works are payable upon completion unless otherwise agreed.
4.2 Commercial works may be invoiced progressively.
4.3 Payment terms are strictly 7 days from invoice unless otherwise stated.
4.4 We may:

Suspend works for non-payment
-
Require deposits for materials or equipment
-
Charge interest on overdue amounts (10% per month)
-
Recover all reasonable debt recovery and legal costs
4.5 Retention of Title
Ownership of all materials and equipment remains with us until full payment is received.
4.6 You grant us the right to enter the site to recover unpaid goods where legally permitted.
5. Site Access & Risk
-
You must provide safe, clear and lawful access.
-
We may refuse to work in unsafe conditions.
-
If hazardous materials (including asbestos) are discovered, works will cease until professionally managed at your cost.
Risk in goods passes to you upon delivery to site.
6. Switchboard Upgrade Disclaimer 🔌
We may recommend switchboard upgrades where installations are:
-
Outdated
-
Non-compliant
-
Overloaded
-
Unsafe
We will not connect new equipment to unsafe or non-compliant boards.
If recommended upgrades are declined, we accept no liability for faults, overloads, damage or safety risks arising from the existing installation.
7. Refrigerant & ARCtick Compliance ❄️
All refrigerant handling is performed by licensed technicians under our ARCtick authorisation.
You acknowledge:

Pre-existing pipework, corrosion or prior installation faults are outside our control.

Refrigerant leaks not directly caused by our workmanship are chargeable.
-
Equipment failure due to manufacturer defect is subject solely to manufacturer warranty.
8. Maintenance Agreements 🧰
Maintenance agreements:

Operate for the agreed term
-
Require timely payment
-
Do not guarantee emergency priority unless stated
We may suspend or terminate agreements for unpaid accounts.
9. Scheduled Servicing & Cancellations 📅
-
24 hours’ notice is required for rescheduling.
-
Late cancellations may incur a full call-out fee.
-
Failure to provide access may result in a full service charge.
Repeated cancellations may result in termination of service.
10. Emergency Call-Outs 🚨
After-hours, weekend and public holiday services incur higher rates and minimum call-out charges.
Rates will be advised where practicable prior to attendance.
11. Warranties
We provide a 12-month workmanship warranty.
Manufacturer warranties apply to supplied equipment.
Nothing in these Terms excludes rights under the Australian Consumer Law in the Competition and Consumer Act 2010.
To the extent permitted by law:

Liability is limited to re-supply of services or the cost of re-supply.

We are not liable for indirect, special or consequential loss, including loss of profit, revenue, business interruption or data loss.
12. Indemnity
You indemnify us against:
-
Claims arising from pre-existing defects
-
Loss or damage caused by third parties
-
Incorrect information provided by you
-
Failure to maintain equipment after installation
13. Limitation of Liability
To the maximum extent permitted by law:
-
Our total aggregate liability for any claim is limited to the amount paid by you for the relevant services.
-
We are not liable for power surges, weather events, grid faults, or factors beyond our control.
-
We are not liable for losses arising from delays outside our reasonable control.
14. Privacy
We handle personal information in accordance with the Privacy Act 1988.
15. Governing Law
These Terms are governed by the laws of Queensland, Australia.
16. PPSA & Security Interest
16.1 Creation of Security Interest
You acknowledge and agree that:
(a) These Terms create a security interest (as defined in the Personal Property Securities Act 2009 (Cth)) in all goods, materials and equipment supplied by us;
(b) The security interest secures payment of all amounts owing to us, whether under a specific invoice or otherwise;
(c) The security interest extends to:

All goods supplied;
-
Any proceeds of sale of those goods;
-
Any accession, installation or transformation of those goods into other property to the extent permitted by law.
16.2 Registration on PPSR
You consent to us:
-
Registering a financing statement on the Personal Property Securities Register (PPSR);
-
Amending or renewing that registration;
-
Registering a purchase money security interest (PMSI) where applicable.
You agree to promptly provide all information and execute any documents required to:
-
Enable us to register and maintain our security interest;
-
Perfect and enforce that security interest;
-
Maintain its priority over other secured parties.
16.3 Waiver of Notices
To the extent permitted by law, you waive the right to receive:
-
Notice of registration of a financing statement;
-
Notice of verification statement;
-
Any notice required under sections 95, 118, 121(4), 130, 132(3)(d) and 157 of the PPSA.
16.4 Priority
You acknowledge that:
-
We may register a Purchase Money Security Interest (PMSI);
-
We intend to have a first-ranking priority over supplied goods and their proceeds;
-
You will not grant any competing security interest over supplied goods without our written consent.
16.5 Default
If you default in payment:
-
We may enter the Site to recover goods where legally permitted;
-
You grant us an irrevocable licence to enter premises for recovery;
-
You must reimburse all recovery, repossession, storage and legal costs.
16.6 Confidentiality
You agree not to disclose information of the kind referred to in section 275(1) of the PPSA except where required by law.
